Uninstall any mods you have installed and try again. If that fails then download the update, unzip the package and just upload the new files to your /Sources directory.
The upgrade only fails when you have mod's installed that have modified your Sources files.
The error with changelog.txt simply means it can't create a backup of changelog.txt (because a backup already exists). Delete changelog.txt~ from your SMF directory and it should work just fine.

You should be able to do the same with that file too. Take a local copy though before you delete it.
I have done this, and also querystring.php~ and it said the update was corrupt, but now the forum says its updated, and everything seems to be ok.
I am getting this error on a fresh Fantastico install. I also tried downloading the update files and uploading the entire Sources directory, but am still getting this error:

You can always chmod all the files in the Sources directory to 666.
I had permissions on that file specifically set to 777 and still get the error on that file.
Hm. Strange. Might be the upstream directory didn't have permissions.
If you keep having issues, use FTP to upload the update package.
I actually even did that. I uploaded the entire Sources folder to the ftp. Still get the error.
