I keep getting a ' The upgrader was unable to obtain write access to Settings.php.' error message.

BTW- thanks

I keep trying that, but  the # shows 644 everytime after I change it

   Settings_bak.php is 777

Then delete "Settings.php" and rename "Settings_bak.php" to "Settings.php".

How long does an average upgrade take? Doesn't seen as if the install- Upgrade Utility is doing anything.

Also, does the page refresh itself (giving me an update)?

It depends on the size of the board. The upgrade tool should give you feedback about the progress.
