Upgrading from RC1 to RC2

Okay I need to upgrade my forum from RC1 to RC2

It has over 40 mods installed and 2,500+ members.

The database size is 12 MB.

First I want to do a test upgrade on anther server, how can I do this?

Do I upload the files and import the database in the new server and then run the upgrade script?

Please give me step by step help.
