The upgrade to SMF 2.0 failed because the below warning. I appreciate your urgent help. Thanks.

You've failed to mention specifically what version you are upgrading from and what specific version you are upgrading to. But I assume that "no such file or directory" would mean that the file "Settings.php" (as noted in upgrade.php) cannot be found or is not readable. Please make sure that Settings.php is still there and has the correct file permissions before trying again.
