Upgrading on local server

I am using xampp as a test server - I have SMF 1.1.5 loaded and running. I am not sure how to ftp to my local server so I copied the upgrade files over to the proper directory, overwriting the existing files. I reset the permissions using windows properties - changing them from read only. When I go to upgrade I get a message telling me;
The upgrader found some old or outdated files. Please make certain you uploaded the new versions of all the files included in the package.

I have also tried uploading the upgrade files to may server did a chmod and downloaded them without any positive results...needless to say I'm stuck...any suggestions would be gratefully accepted.

It's a bug in the upgrade package. Please do a search for the fix.

Next Layer of the onion... but before that ...is there a way to load version 2 and upgrade the database from 1.1.5?

ok here is the next error I get - I've read a bit about this but nothing that exactly seems to solve my problem...

Yes, you just copy all the files over from the large upgrade 2.x package to your locally stored folder.  Then run the upgrade.php for 2.x and it will upgrade the db.
