I've been trying to upgrade for over an hour now even though its supposed to be an easy procedure.  My problem is it keeps asking for the FTP information which I give however nothing happens (no error)

Jerry

I'm not sure why it wouldn't work with the ftp information if it was correct. Did you try clicking the alternate link and changing the file and folder permissions that it specifies on your own?

1.) Try to change teh permissions via an ftp client (filezilla or similar).

If that does not work please proceed to step 2.

2.) Please upload a phpinfo file and link to it.

What is a phpinfo() file?

ETA: Please post the phpinfo file. You can also try using 755 perms as some host do not allow 777
PM at your own risk, some I answer, if they are interesting, some I ignore.

I need a link to the phpinfo file that has been uploaded to your server so that I can check a few things about the server config that may help to isolate the problem.

Found my problem, and just found OPs error.

I didn't have a Settings_bak.php

OPs problem:  his file is named Settings_back.php instead of Settings_bak.php

Remove the c, and try again.

You beat me to it, just came on to say Settings_bak.php was causing me the problem

Tyrsson

Could you please post what version you are upgrading from :)
